Terms of Service

By accessing or using the DealAGI platform ("Service") at app.dealagi.ai, you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, do not use the Service.

These Terms apply to all users of the Service, including customers, administrators, and anyone accessing the platform under a customer's account.

The Service is provided on a subscription basis. Features available to you depend on your subscription plan.

Account creation

You must create an account to use the Service. You agree to provide accurate, complete, and current information during registration and to keep this information updated.

Account security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at legal@dealagi.ai if you suspect unauthorised access.

One account per business

Each subscription is for a single business entity. You may not share your account with other businesses or resell access to the Service without our prior written consent.

Account termination

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or remain inactive for more than 12 months on a free or trial plan.

Subscription plans

DealAGI offers subscription plans billed monthly or annually. Plan details, including features and credit allocations, are described on our pricing page and in your account dashboard.

Credits

Usage of the AI voice agent is measured in credits. One credit equals one minute of call time. Your plan includes a set number of credits per billing period. Credits do not roll over to the next period unless stated otherwise in your plan.

Billing

Subscriptions are billed in advance at the start of each billing period. All fees are non-refundable except as stated in Section 10 (Termination) or as required by applicable law. Payments are processed by Stripe.

Price changes

We may change subscription prices with at least 30 days' notice. Price changes take effect at your next renewal date. Continued use of the Service after a price change constitutes acceptance of the new price.

Overdue payments

If payment fails, we will notify you and attempt to retry. If payment remains outstanding for 7 days, we may suspend your account until payment is received.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

Compliance with calling laws

If you use DealAGI for outbound calling, you are solely responsible for complying with all applicable telemarketing and calling regulations in your jurisdiction, including (but not limited to) the Telephone Consumer Protection Act (TCPA) in the US, PECR in the UK, and equivalent laws in other countries. This includes maintaining appropriate do-not-call lists and obtaining necessary consents.

Your data

You retain ownership of all data you input into the Service, including company information, knowledge bases, and prospect data ("Customer Data"). You grant DealAGI a limited licence to process Customer Data solely to provide and improve the Service.

Prospect data

You are the data controller for personal data collected about your prospects during AI calls. DealAGI acts as a data processor on your behalf. You are responsible for having a lawful basis to collect and process that data.

Data Processing Agreement

For customers subject to GDPR or similar regulations, a Data Processing Agreement (DPA) is available upon request. Contact legal@dealagi.ai to request a DPA.

Privacy Policy

Our collection and use of your personal data is governed by our Privacy Policy at dealagi.ai/privacy, which is incorporated into these Terms by reference.

Data security

We implement reasonable technical and organisational measures to protect Customer Data. However, no system is 100% secure and we cannot guarantee absolute security.

Nature of AI output

The Service uses artificial intelligence to generate call scripts, responses, summaries, qualification scores, and other content ("AI Output"). AI Output is generated automatically and may not always be accurate, complete, or appropriate.

Your responsibility

You are responsible for reviewing and verifying AI Output before acting on it. DealAGI does not guarantee the accuracy of lead scores, qualification assessments, or call summaries. Sales decisions based on AI Output remain your responsibility.

No professional advice

AI Output does not constitute legal, financial, medical, or other professional advice. Do not rely on it as a substitute for professional judgement.

Ownership of AI Output

You own the AI Output generated through your use of the Service. We do not claim ownership of content generated on your behalf.

DealAGI IP

The Service, including its software, design, trademarks, and content (excluding Customer Data and AI Output), is owned by DealAGI and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use the Service during your subscription.

Your IP

You retain all rights to your Customer Data, brand assets, and materials you provide to the Service. You grant us a limited licence to use these solely to provide the Service to you.

Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, royalty-free licence to use that feedback without any obligation to compensate you.

The Service integrates with third-party services including Anthropic (AI), Vapi (voice), Supabase (database), Vercel (hosting), and Stripe (payments). Your use of these services may be subject to their own terms and privacy policies.

We are not responsible for the availability, accuracy, or practices of third-party services. If a third-party service becomes unavailable or changes its terms in a way that affects our Service, we will use reasonable efforts to find an alternative but cannot guarantee uninterrupted service.

By you

You may cancel your subscription at any time through your account settings or by contacting legal@dealagi.ai. Cancellation takes effect at the end of the current billing period. No refunds are provided for unused time in the current period.

By us

We may suspend or terminate your account immediately if you materially breach these Terms, engage in fraudulent activity, or if required by law. We will provide reasonable notice where possible.

Effect of termination

Upon termination, your access to the Service will cease. We will retain your data for 90 days after termination, during which you may request an export. After 90 days, your data will be permanently deleted unless we are required by law to retain it.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

Some jurisdictions do not allow the exclusion of implied warranties. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

You agree to indemnify, defend, and hold harmless DealAGI and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of:

These Terms are governed by the laws of India, without regard to conflict of law principles.

Any dispute arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails within 30 days, disputes shall be submitted to binding arbitration in accordance with applicable arbitration rules.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.

If you are a consumer in the EEA or UK, you may also have rights under local consumer protection laws that cannot be excluded by contract.

We may update these Terms from time to time. For material changes, we will provide at least 14 days' notice by email or by displaying a prominent notice in the app.

Your continued use of the Service after the effective date of updated Terms constitutes your acceptance. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription before the effective date.

Entire agreement

These Terms, together with our Privacy Policy and any order forms or subscription agreements, constitute the entire agreement between you and DealAGI regarding the Service.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Failure to enforce any right or provision of these Terms does not constitute a waiver of that right.

Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Force majeure

Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including natural disasters, government actions, or third-party service outages.
